This website and platform are operated by Whisper Intelligence LLC. Throughout the site, the terms “Whisper,” “we,” “us,” and “our” refer to Whisper Intelligence LLC. Whisper offers this platform, including all features, tools, and services made available through the site to you, the user, conditioned upon your acceptance of the terms, conditions, and policies stated here.

By accessing or using any part of Whisper, including but not limited to browsing, joining course rooms, posting messages, or uploading content, you engage in our “Service” and agree to be bound by these Terms of Use (“Terms”).

These Terms apply to all users of the site, including but not limited to students, contributors, and visitors. If you do not agree with these Terms, you may not access or use Whisper.

Eligibility and Access

By agreeing to these Terms of Use, you represent that you are at least 18 years old or the age of majority in your state of residence, or that you are using Whisper with the consent and supervision of a parent or legal guardian. If you are accessing Whisper as a student at the University of Houston or another institution, you must log in using your assigned credentials (such as CougarNet ID) and you agree not to impersonate another student or individual.

A breach or violation of these Terms may result in immediate suspension or termination of your access to Whisper without notice.

Privacy & Data

Your use of Whisper is also governed by our Privacy Policy. By using the Service, you acknowledge and agree that we may collect and process certain information to operate Whisper. For details on what information we collect, how it is used, and how it is protected, please review our Privacy Policy.

Intellectual Property

All rights, title, and interest in and to Whisper, including its name, design, codebase, features, graphics, logos, and branding are the property of Whisper Intelligence LLC and are protected by applicable copyright, trademark, and intellectual property laws. Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, display, or create derivative works of any part of Whisper without our prior written consent.

Disclaimers of Warranties

Whisper is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. We do not guarantee that Whisper will be uninterrupted, secure, error-free, or free of harmful components. We make no warranties regarding the accuracy, completeness, or reliability of any content shared by users.

To the fullest extent permitted by law, Whisper Intelligence LLC disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Your use of Whisper is at your sole risk.

Limitation of Liability

To the maximum extent permitted by law, Whisper Intelligence LLC, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses, arising from or related to your use of Whisper.

This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. Our total liability for any claim shall not exceed the amount you paid us, if any, for use of the Service during the past twelve months.

Indemnification

You agree to indemnify, defend, and hold harmless Whisper Intelligence LLC, its directors, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your content, your use of Whisper, or your violation of these Terms.

Changes to Terms of Use

We may update or modify these Terms of Use at any time by posting the revised version on this page. The updated Terms will take effect immediately upon posting, unless otherwise stated. It is your responsibility to review these Terms periodically for changes. By continuing to use Whisper after changes are posted, you agree to be bound by the updated Terms.

Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles, and before bringing any legal action you agree to first contact us at support@whisperuh.com. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the jurisdiction of those courts.
